【摘要】：股份回購(gòu)是企業(yè)資本運(yùn)作的重要手段。日本在2001年后通過(guò)商法修訂,已經(jīng)全面放開(kāi)了股份回購(gòu)中關(guān)于收購(gòu)、持有、處置以及注銷(xiāo)本公司股份的相關(guān)規(guī)定。上市公司在這樣的制度背景下,加大了股份回購(gòu)的力度,在調(diào)整股權(quán)結(jié)構(gòu)、提升股票價(jià)格等方面發(fā)揮了積極的作用。我國(guó)應(yīng)建立健全有關(guān)股份回購(gòu)的法律制度、完善股份回購(gòu)信息披露體制并提高上市公司對(duì)股份回購(gòu)功能的認(rèn)識(shí),以期上市公司能夠結(jié)合企業(yè)實(shí)際,適時(shí)運(yùn)用這一資本運(yùn)作手段,實(shí)現(xiàn)企業(yè)的長(zhǎng)期發(fā)展目標(biāo)。
[Abstract]:Share repurchase is an important means of enterprise capital operation. Japan, which amended its commercial law after 2001, has fully liberalized the relevant regulations on acquisition, holding, disposal and cancellation of shares in the company. Under the background of this system, listed companies have increased the strength of share repurchase and played an active role in adjusting the stock structure and raising the stock price. Our country should establish and perfect the legal system of share repurchase, perfect the information disclosure system of share repurchase and raise the understanding of the function of share repurchase by listed companies, in the hope that the listed companies can use this capital operation means in good time in combination with the actual situation of enterprises. Realize the long-term development goal of the enterprise.
