對(duì)業(yè)主大會(huì)議事規(guī)則“未投票視為有效同意”條款的檢討

【摘要】:業(yè)主大會(huì)會(huì)議往往通過書面征求意見的形式召開,對(duì)于已送達(dá)的征求表決票,業(yè)主若在規(guī)定的時(shí)間內(nèi)不反饋意見,視為同意,此規(guī)定被稱為"未投票視為有效同意"條款。實(shí)踐中法院無一例外地支持此條款的效力,但該條款效力是存在問題的,其癥結(jié)在于中國(guó)法律未提供業(yè)主大會(huì)會(huì)議無法決議時(shí)的解決辦法。除完善業(yè)主大會(huì)會(huì)議的議事規(guī)則之外,要根本解決該條款所折射出的問題,需要進(jìn)行良好的制度設(shè)計(jì),建立業(yè)主代表制度,采用集體討論、充分交換意見等方式,促進(jìn)業(yè)主行使共同管理權(quán)。
[Abstract]:The owners' meeting is often held in the form of written consultation. If the owner does not feedback within the prescribed time, this provision is called "non-voting as valid consent" clause if the owner does not feedback within the prescribed time. In practice, the court supports the validity of this clause without exception, but the validity of this provision is problematic, the crux of which lies in the fact that Chinese law does not provide a solution when the owners' meeting cannot resolve it. In addition to perfecting the rules of procedure of the owners' meeting, in order to fundamentally solve the problems reflected in this clause, it is necessary to carry out good system design, establish the owner's representative system, adopt collective discussion, fully exchange views, and so on, so as to promote the owners to exercise their common management rights.
